









With assistance from NHVG, you conduct internal workshops with your management, technical and financial staffs to identify, characterize and prioritize capability gaps. |

We can then begin to formulate possible solutions to fill the gaps. This step is critical because you will need to decide whether your company has the technology and manpower resources, the time and the funds to close the gaps yourself or whether teaming with another company is more apropriate. |

Form follows function. Trite but true. NHVG will lead your company and your proposed partner through an NHVG proprietary process that will help both parties to efficiently describe most of the meaningful aspects of the business arrangement. The finished product will be a Term Sheet that your company and your partner can use as an internal discussion tool and will be the basis of a memorandum of understanding or a formal agreement. |

The Term Sheet from the previous step is the skeleton of an agreement. NHVG will write a formal agreement incorporating the Term Sheet. NHVG will submit the initial draft to your company and to your legal staff for review and approval. NHVG will submit the initial draft to your partner for its review and editing only after following this formal vetting process within your company. |

It is during this phase of the process that the value of working with NHVG will be most apparent. NVHG has a deep understanding of most existing and arising technologies, extensive knowledge of commercial and intellectual property law and well-developed negotiating skills. The combination of these skills working for your company maximizes the chances that you will be able to reach a satisfactory agreement in which both companies can succeed and profit. |

Agreements are living documents and problems will nearly certainly arise that will require going back to modify the agreement or to adapt it to issues that were not foreseen. |
